Subscription Policy

This Subscription Policy (the “Subscription Policy”) sets out the contractual terms governing Trial Memberships, Subscriptions, automatic renewals, billing, cancellations, payment recovery, and refunds offered through the website available at www.veritycheck.com (the “Website”), the VerityCheck software platform and any related applications or interfaces (the “Platform”), and all related features, products, and services made available through the Website or the Platform (collectively, the “Services”).

The Services are provided by Aura Health LLC, a limited liability company incorporated under the laws of the State of Wyoming, with its registered address at 30 N Gould St Ste R, Sheridan, Wyoming 82801, United States of America (the “Platform Operator”, “We”, “Our”, or “Us”). The Platform Operator operates the Website and Platform and provides the Services, including the ability to purchase a limited-duration paid trial offering temporary access to the Services (the “Trial Membership”) and an automatically renewing paid membership providing ongoing access to the Services (the “Subscription”).

This Subscription Policy forms an integral part of the Terms and Conditions (the “Terms”) governing Your use of the Services and should be read together with the Terms. Unless otherwise expressly defined herein, all capitalized terms used in this Subscription Policy shall have the meanings assigned to them in the Terms.

This Subscription Policy does not replace the Terms. Rather, it consolidates in a single document the provisions of the Terms specifically applicable to Trial Memberships and Subscriptions. In the event of any inconsistency between this Subscription Policy and the Terms, the Terms shall prevail, unless applicable law requires otherwise.

By purchasing a Trial Membership or Subscription, completing the applicable checkout process, authorizing recurring payments, or otherwise using the paid Services, You acknowledge and agree to be bound by this Subscription Policy and the Terms, including the applicable pricing, Trial Membership, automatic renewal, recurring billing, cancellation, and refund terms disclosed to You before purchase.

1. Fees, Trial & Subscription Plans

Fees and Payment Authorization

1.1. Certain parts of the Services are offered for a fee (“Fees”). The applicable Fees, currency, billing terms, Trial Membership duration, Subscription duration (the “Subscription Period”), renewal conditions, and any applicable taxes or VAT will be disclosed to You prior to purchase, including during the checkout process and/or on the payment screen. By providing Your payment information and completing a purchase, You authorize the Platform Operator, the applicable Payment Processing Entity, and/or an authorized payment service provider, as applicable, to charge Your selected payment method for all applicable Fees, including any recurring Subscription charges, in accordance with the Terms, this Subscription Policy, and the disclosures presented at checkout.

1.2. You agree to provide current, complete, and accurate payment and Account information and to promptly update such information as necessary to ensure successful payment processing. Fees may be charged in the currency displayed at checkout or in the applicable order confirmation. Any currency-conversion charges, foreign-transaction fees, bank commissions, or other charges imposed independently by Your bank, card issuer, payment provider, or financial institution are Your responsibility. The applicable price, currency, and any taxes or VAT required to be disclosed will be presented to You before You authorize the purchase. You are responsible for reviewing the final payment summary before completing the transaction.

1.3. We reserve the right to correct any pricing, currency display, billing, or checkout errors, inaccuracies, or omissions, even if payment has already been requested or received. In the event of such an error, We may cancel, void, or adjust the affected transaction and, where applicable, issue a refund or request the correct payment amount, to the extent permitted by applicable law.

Trial Membership

1.4. Eligible Users may be offered a paid Trial Membership that provides access to the Services for seven (7) days. The applicable Trial Membership Fee, currency, included features, and any other material terms will be presented to You before payment authorization and may also be confirmed in the applicable order confirmation. Access to the Trial Membership begins upon successful payment or as otherwise disclosed at checkout.

1.5. The Trial Membership is intended to allow You to access and use the Services, including such Reports, searches, lookups, features, or other functionality as may be included in the applicable Trial Membership offer. Unless You cancel before the end of the Trial Membership period, the Trial Membership will automatically convert into the paid Subscription under the pricing and billing terms disclosed to You before purchase and, where applicable, confirmed in the order confirmation.

Subscription and Automatic Renewal

1.6. After the Trial Membership period, Your access to the Services will automatically continue under the Subscription unless You cancel before the applicable conversion date in accordance with this Subscription Policy and the Terms. Each Subscription Period is twenty-eight (28) days. The applicable Subscription Fee, currency, Subscription Period, and automatic renewal terms will be disclosed to You before purchase and may also be confirmed in the applicable order confirmation. The Subscription constitutes a recurring payment obligation and will automatically renew for successive Subscription Periods, with the applicable Subscription Fee charged at the beginning of each new Subscription Period, unless You cancel before the applicable renewal date.

1.7. By purchasing the Trial Membership or Subscription, You expressly authorize the applicable recurring charges disclosed to You before purchase and acknowledge that Your selected payment method may be charged automatically for each Subscription Period without requiring separate authorization for each renewal, until You cancel the Subscription or it is otherwise terminated. We may change Subscription Fees from time to time. Where required by applicable law, We will provide advance notice of a change to the recurring Subscription Fee and obtain any additional consent required by law. Unless otherwise required by applicable law or stated in the applicable notice, a Fee change will not affect a Subscription Period that has already begun. If You do not wish to continue at the revised Fee, You must cancel before the revised Fee becomes applicable to Your Subscription.

1.7.1. Following the purchase of a Trial Membership or Subscription, You may receive an order confirmation by email or through the Services. Such confirmation may include, where applicable, the purchased plan, amount charged, currency, Trial Membership or Subscription Period, automatic renewal terms, and the entity or payment descriptor associated with processing the payment. In the event of a discrepancy, the terms and disclosures validly presented to and accepted by You at checkout will generally govern the applicable purchase, subject to the Terms, correction of manifest errors, and any rights or requirements under applicable law.

Timing of Charges and Billing Date

1.8. The billing date for the Subscription is generally the date on which the applicable Subscription Fee is successfully charged to Your payment method. Subscription Fees are generally charged in advance for each Subscription Period. Where a renewal charge is successfully collected after one or more failed or delayed payment attempts, the applicable Subscription Period and/or next billing date may be calculated from the date on which the renewal payment is successfully collected, unless otherwise disclosed to You or required by applicable law.

1.9. You acknowledge that billing cycles and payment-collection timing may vary due to payment-processing delays, failed or declined payment attempts, technical adjustments, fraud-prevention or security checks, processor or financial-institution requirements, or other circumstances reasonably affecting payment processing. We do not guarantee that a payment will be successfully processed on the first attempt or at any specific time. If a payment attempt is declined, delayed, or otherwise unsuccessful, We or an authorized Payment Processing Entity or payment service provider may re-submit or retry the applicable charge as described below, to the extent permitted by applicable law and applicable payment-network or processor rules. We are not responsible for payment failures caused by insufficient funds, expired or invalid payment methods, bank or card-issuer restrictions, payment-provider decisions, or other circumstances outside Our reasonable control.

1.10. If a payment is declined, reversed, fails authorization, or otherwise cannot be successfully collected, We and/or an authorized Payment Processing Entity or payment service provider may, to the extent permitted by applicable law and applicable payment-network or processor rules, make additional attempts to collect the applicable amount using the same payment method, stored or updated payment credentials, tokenized payment information, or another payment method validly associated with Your Account and authorized for such use.

1.11. Where permitted by applicable law and applicable payment-network or processor rules, failed or declined Subscription charges may be submitted to or processed through an authorized third-party billing or payment-recovery provider for further collection attempts. Such attempts may use payment credentials, updated payment credentials, or payment-method tokens validly associated with Your Account and authorized for recurring billing or payment recovery. Any such provider acts only in connection with payment processing, billing, collection, payment recovery, fraud prevention, or related administrative functions and does not assume responsibility for the operation, quality, performance, legality, accuracy, or conformity of the Services or Reports, which remain the responsibility of the Platform Operator to the extent provided in the Terms and applicable law.

1.12. You acknowledge that charges, retries, or payment-recovery transactions may appear on Your payment-card, bank, or payment-account statement under a descriptor associated with the Platform Operator, an authorized Payment Processing Entity, merchant of record, billing provider, payment processor, or payment-recovery provider involved in the applicable transaction. The descriptor may therefore differ from the VerityCheck name or from the descriptor used for an earlier transaction, where permitted by applicable law and payment-network or processor rules.

1.13. During a failed-payment or payment-recovery period, We may, to the extent permitted by applicable law and at Our discretion, suspend, restrict, continue, or restore access to the Services; continue reasonable payment-collection attempts; or offer or apply a temporary discounted renewal amount, reduced recovery amount, promotional price, or other payment arrangement intended to facilitate successful renewal or collection. A failed or declined payment does not, by itself, waive any validly incurred Fee or other amount lawfully due. We may suspend or terminate the Subscription or Account following unsuccessful payment attempts, without limiting Our right or the right of an authorized payment or recovery provider to seek collection of amounts validly incurred before such suspension or termination, to the extent permitted by applicable law.

1.13.1. To facilitate payment processing, transaction routing, billing administration, or other legitimate payment-processing purposes, the total amount authorized for a purchase may be processed as one or more separate transaction entries. Regardless of the number of transaction entries used to process a particular authorized purchase, the aggregate amount charged for that purchase will not exceed the total amount disclosed to and authorized by You at checkout, except for separately authorized subsequent purchases, recurring Subscription renewals, or other charges validly incurred in accordance with the Terms. Transaction descriptors may vary depending on the Payment Processing Entity, merchant of record, payment processor, acquiring bank, billing provider, payment-recovery provider, or other payment infrastructure involved in processing the transaction.

1.13.2. To facilitate Subscription continuity, payment processing, payment recovery, fraud prevention, dispute handling, chargeback management, and billing administration, We may disclose or make available limited transaction-related information, payment-status information, billing identifiers, technical or fraud-prevention information, and tokenized payment credentials to authorized Payment Processing Entities, payment processors, billing providers, payment-recovery providers, financial institutions, and other parties reasonably involved in the relevant payment activity, in accordance with the Privacy Policy and applicable law.

2. Cancellation

2.1. You may cancel the Trial Membership or Subscription at any time using the self-service cancellation functionality made available through Your Account or the Services. We may also make additional cancellation methods available, including cancellation through customer support using the contact details provided through the Website or in Section 4 of this Subscription Policy. Where reasonably necessary, We may require You to provide sufficient information to identify the relevant Account or Subscription and verify that You are authorized to request the cancellation. We will not require You to contact customer support as a condition of cancellation where self-service cancellation functionality is available and operational.

2.2. To avoid conversion of the Trial Membership into a Subscription or a charge for the next Subscription Period, Your cancellation must be successfully completed before the applicable conversion or renewal becomes effective. A cancellation is considered completed when the cancellation request has been successfully submitted through a cancellation method made available by Us and has been recorded by Our systems or otherwise confirmed by Us. If a recurring charge was validly initiated or processed before the cancellation was completed, that charge may still be completed, and the cancellation will apply prospectively to prevent subsequent renewals, except where applicable law or applicable payment-network rules require otherwise.

2.3. Once cancellation becomes effective, the Trial Membership will not convert into a Subscription or the Subscription will not renew for another Subscription Period, as applicable. Unless otherwise stated through the Services or required by applicable law, cancellation does not retroactively reverse Fees already validly charged or incurred and does not automatically entitle You to a refund. Where a Subscription Fee has already been successfully collected for a Subscription Period, You may continue to have access to the applicable paid Services until the end of that Subscription Period, unless Your access is suspended or terminated in accordance with the Terms. Cancellation of a Trial Membership or Subscription does not automatically delete Your Account. Account deletion must be requested separately in accordance with the Terms and Privacy Policy.

2.4. Trial Memberships and Subscriptions are personal to the User and may not be assigned, transferred, resold, sublicensed, or shared with any third party without Our prior written consent. The Services are available only to Users who satisfy the eligibility requirements set out in the Terms, including applicable age and geographic restrictions.

2.5. We may modify the features, benefits, eligibility requirements, promotional terms, pricing, or other terms applicable to Trial Memberships or Subscriptions from time to time. Changes will apply prospectively and will not retroactively alter Fees already validly charged for a Subscription Period that has begun. Where required by applicable law, We will provide advance notice of a material change, including an applicable increase in a recurring Subscription Fee, and will obtain any additional consent required by law. If You do not wish to continue the Subscription following a notified change, You may cancel before the change becomes applicable to Your next Subscription Period. Continued use of the Subscription after a change takes effect constitutes acceptance of the updated terms to the extent permitted by applicable law.

3. Refund Policy

3.1. Trial Memberships and Subscriptions provide access to digital Services that are made available immediately or as otherwise disclosed at checkout. Except where a refund, withdrawal right, cancellation right, or other remedy is required by applicable law, Fees are non-refundable. Notwithstanding the foregoing, We may, at Our discretion, consider refund requests on a case-by-case basis, including in circumstances involving billing errors, duplicate charges, material technical issues, or other circumstances We consider appropriate. Any discretionary refund does not create an obligation to provide the same or a similar refund in the future.

3.2. If You believe You are entitled to a refund or wish to request a discretionary refund, You should contact customer support using the contact details provided through the Website or in Section 4 of this Subscription Policy. Please provide the email address associated with Your Account, sufficient information to identify the relevant transaction, and a brief explanation of the reason for Your request. We may request additional information reasonably necessary to verify the Account, transaction, or circumstances of the request.

3.3. If You believe that a charge is incorrect, unauthorized, duplicated, or otherwise disputed, We encourage You to contact customer support first so that We have an opportunity to investigate and, where appropriate, resolve the matter. Nothing in this Subscription Policy prevents You from exercising any chargeback, payment-dispute, refund, or other right available under applicable law or applicable payment-network rules. However, where a chargeback or payment dispute concerns a transaction that We reasonably believe was validly authorized or where We reasonably suspect fraud, abuse, or misuse of the chargeback process, We may investigate the matter and take appropriate action in accordance with the Terms and applicable law.

3.4. A fraudulent, abusive, knowingly false, or bad-faith chargeback or payment dispute concerning a transaction validly authorized and processed in accordance with the Terms may constitute a material breach of the Terms. Where You initiate a chargeback, payment dispute, retrieval request, or similar claim, We may, to the extent permitted by applicable law:

3.4.1. suspend, restrict, or terminate the Account or access to the Services where reasonably necessary to prevent fraud, abuse, further disputed charges, or other misuse, or as otherwise permitted under the Terms;

3.4.2. contest or respond to the chargeback or payment dispute and provide relevant evidence to payment processors, financial institutions, card issuers, card networks, dispute-resolution providers, or other appropriate parties, including evidence of payment authorization, acceptance of the Terms and this Subscription Policy, recurring billing consent, checkout disclosures, use of or access to the Services, Account and access logs, transaction records, payment-recovery records, relevant technical or device information, and information concerning Reports generated or accessed;

3.4.3. disclose relevant Account, billing, transaction, fraud-prevention, payment-recovery, and dispute information to Payment Processing Entities, payment processors, financial institutions, card networks, fraud-prevention providers, payment-recovery providers, insurers, dispute-resolution providers, and risk-management services where reasonably necessary to investigate, respond to, or resolve the matter, in accordance with the Privacy Policy and applicable law;

3.4.4. seek recovery of any validly incurred and unpaid amount and, where permitted by applicable law, reasonable chargeback fees, collection costs, third-party recovery costs, or other amounts lawfully recoverable in connection with a fraudulent, abusive, or bad-faith payment dispute;

3.4.5. for the avoidance of doubt, where You validly authorize recurring billing in connection with a Trial Membership or Subscription, that authorization applies to recurring Subscription charges and permitted payment-recovery attempts made in accordance with the Terms, this Subscription Policy, the disclosures accepted by You at checkout, applicable law, and applicable payment-network or processor rules, until the authorization is cancelled or otherwise ceases to apply.

3.4.6. A chargeback, payment dispute, retrieval request, or similar claim does not, by itself, constitute cancellation of Your Subscription or eliminate any payment obligation validly incurred before cancellation. If You wish to prevent future recurring Subscription charges, You must separately cancel the Subscription in accordance with Section 2, except where applicable law or applicable payment-network or payment-provider rules provide otherwise.

3.5. Trial Membership Fees are generally non-refundable once access to the applicable Services has been made available, except where a refund or other remedy is required by applicable law or granted by Us under Section 3.1.

3.6. Subscription Fees are generally charged in advance for each Subscription Period. Except where required by applicable law or where We determine otherwise under Section 3.1, Fees for a Subscription Period that has begun are non-refundable, and We do not provide prorated or partial refunds, credits, or reimbursements solely because You cancel or do not use all or part of the Services during that Subscription Period.

3.7. If You are a consumer in the European Economic Area, United Kingdom, or another jurisdiction that provides a statutory right to withdraw from a distance contract, You may have a right to withdraw within the period prescribed by applicable law, subject to applicable conditions and exceptions. Where You request that the performance of Services begin during an applicable withdrawal period, We may request any express consent, request for immediate performance, acknowledgement, or other confirmation required by applicable law. Your withdrawal right will be limited or lost only to the extent permitted by applicable law and only where the applicable legal requirements for such limitation or loss have been satisfied. Where You validly exercise a withdrawal right after requesting that performance begin, You may be required to pay for Services supplied before withdrawal to the extent permitted by applicable law. Nothing in this Subscription Policy limits any mandatory consumer withdrawal or refund right that cannot lawfully be waived.

4. Final Provisions

4.1. This Subscription Policy forms an integral part of the Terms and should be read together with the Terms and the Privacy Policy.

4.2. We may amend this Subscription Policy from time to time to reflect changes to the Services, Trial Memberships, Subscriptions, payment or billing practices, business operations, applicable law, or the Terms. Where required by applicable law, We will provide advance or additional notice of material changes and obtain any additional consent required by law.

4.3. To the extent permitted by applicable law, Your continued use of the applicable paid Services after an updated Subscription Policy becomes effective constitutes Your acceptance of the updated Subscription Policy. Where applicable law requires separate notice, affirmative consent, or another action for a particular change, the change will become effective with respect to You only in accordance with those requirements.
